When Should an LLC Elect S Corporation Tax Status?
An LLC should consider S corporation tax treatment when the expected benefits justify the added payroll, return preparation and administrative work. There is no single profit threshold that makes an election right for every owner.
LLC formation and S corporation tax status are different
An LLC is a legal entity formed under state law. S corporation status is a federal tax election available to eligible entities. Making the election does not by itself replace your state-law LLC structure.
Review eligibility before calculating savings
Ownership, shareholder eligibility, stock rules and other restrictions matter. Review the IRS S corporation requirements before assuming your LLC qualifies. An eligible entity generally makes the election using Form 2553.
Compare the full annual cost
- Expected profit and how much work owners perform for the business.
- Reasonable compensation, payroll administration and applicable employment taxes.
- Federal Form 1120-S preparation and any applicable state returns or fees.
- Bookkeeping, owner basis records, benefits and distribution tracking.
- How stable earnings are and whether the business can fund an ongoing payroll routine.
S corporation shareholder-employees must receive reasonable compensation for services before non-wage distributions. Review the IRS compensation guidance. Do not treat all owner payments as distributions simply because an election was made.
Plan the effective date early
The Form 2553 instructions generally require an election no later than two months and 15 days after the start of the tax year it should take effect, or during the preceding tax year. Late-election relief can apply in some circumstances, but should not be assumed. Check the current Form 2553 instructions for your facts and filing date.
Bring the right records to a consultation
Gather recent profit and loss and balance sheet reports, ownership details, prior returns, payroll information, expected earnings and the states involved. Review the projected outcome with a qualified adviser before filing an election.

Request a remote meeting to discuss the records and services you need. An inquiry does not make an election or enroll you in a subscription.
